Job Description:

Well-known FTSE 250 financial services company is looking to appoint an assistant company secretary on an interim basis although the position could become permanent. You will be part of an established medium sized department. An immediate start is envisaged.

Key Duties/Responsibilities
• Administration of the group’s various executive share plans including the deferred annual bonus and long term incentive plan
• Organisation of the annual Sharesave launch and maturity arrangements and maintaining ongoing working relationship with the Sharesave administrator
• Disseminating regulatory announcements to the LSE
• Administration of the group’s general insurance programmes
• Updating the group structure diagram
• Maintaining subsidiary company minute books and statutory registers using company secretarial software (Blueprint OneWorld)
• Lodging regulatory filings
• Recording, preparing and distributing the minutes of subsidiary board meetings and arranging for safe custody of associated board papers
• Drafting standard resolutions and other documentation
• Acting as minuting secretary for designated meetings
• Assisting with preparation and mailing of interim and annual reports and accounts and AGM arrangements


Technical Skills / Experience Required:
Company Secretarial
• Experience of share plan administration required and good working knowledge of Options Manager, desirable
• To be able to accurately administer the executive share plans involving some figure work and the making of significant payments to an established timetable
• Need to create and maintain excellent service standards with share plan participants including senior executives from across the group
• Company secretarial work or previous involvement with corporate administration an advantage

Administrative
• Providing high quality services to share plan participants
• Well organised with good attention to detail
• Excellent written and spoken communication skills: must be literate and numerate
• Adaptable to different software systems
• Engaging with group functions (finance and HR) as well as individual business units on share plans, insurance and company secretarial aspects
• Maintaining filing and archive systems
