Our client is a Global Insurance organisation with a strong reputation. It now seeks to appoint an Assistant/Deputy Secretary.

Reporting to the Company Secretary, this role will provide support for all corporate secretarial issues relating to the European Group companies. The successful candidate will provide a service which is responsive and of high quality, providing the European Group companies and the Company Secretary with all necessary administrative support, ensuring full compliance with all corporate governance and regulatory requests.

With the assistance of a shared secretariat assistant, the job holder will ensure corporate secretarial compliance for some 40 entities in the UK and European region.

Key Responsibilities:

Provide day to day corporate secretarial support to the European Group legal entities and operations in the UK and the other countries in which the Group operates, including production of and provision of minutes, certified/notified documents, proxies, powers of attorney, documentation regarding incorporation, share transfers and sales, name changes, appointment of directors and officers, shareholder consents, memoranda and articles of association, etc so they meet the needs of the business and comply with EU legal requirements.

Take responsibility for the servicing of the meetings of certain principal Board committees and/or subsidiary company boards, including preparation of agendas, collection and collation of papers, attendance and production of minutes, actions, etc.

Be fully conversant with corporate governance best practice in the UK and other relevant countries. Advise directors and implement best practice for all European Group companies

Advise directors and officers as to their legal and corporate responsibilities

Ensure that for each legal entity in the European Group the requisite documentation is completed and filed with the appropriate government and other relevant statutory bodies in accordance with local and EU legal requirements.


Ensure that all European Group legal entities adopt a consistent approach to key operations (e.g. board committees) wherever possible so that a co-ordinated management approach is taken across Europe.

Pursue creation of new entities, dissolution of targeted branches/subsidiaries and effectiveness of European Group legal structure.


The ideal candidate will be a finalist or fully ICSA qualified and have significant corporate secretarial experience gained within a leading multinational company. In addition he/she should have a high level of knowledge of the Companies Acts, company secretarial practice and corporate governance guidelines.
