Our FTSE250 client is a leading global services company working
in both the private and public sectors. It now seeks to
recruit a Company Secretarial / Shares Schemes Manager.
Reporting to the Deputy Company Secretary, this role
calls for a confident individual who combines extremely
high standards of accuracy with a pleasant manner and
contributes ideas and solutions in any area of involvement.

Work will include

International share schemes management:
¦ Hands-on management of all aspects of international
LTIP, bonus deferral and sharesave schemes
¦ Management of legacy schemes, including ESOS and
CSOP
¦ Supervision of Computershare, the employee benefit
trustee
¦ Maintaining accurate records of all awards and
participants
¦ Providing awards information to the Finance
department for results announcements
¦ Liaising with Human Resources on discretionary leavers
¦ Managing compliance relating to share schemes: tax,
securities laws, exchange controls, employee laws and
data protection
¦ Preparation and control of all participant
communications
¦ Dealing efficiently with participant queries
¦ Periodic PDMR checks
¦ Preparation of announcements
¦ Analysis and reports
Company secretarial:
Assisting the Assistant Company Secretary as required with:
¦ Preparation of and attendance at the AGM
¦ Dealing with shareholder queries
¦ Year-end projects, such as collating director information
for the Annual Report or production of the Notice of
Meeting
¦ Production of the Annual Report
¦ Reviewing board or shareholder minutes for
international subsidiary companies


Candidates will have proven experience dealing with
senior executives, will be flexible, have a great work ethic,
thorough planning and organisational skills and will have
a keen eye for accuracy. It is essential that they have a
thorough knowledge of international share schemes
practice, knowledge of at least one share schemes software
package eg Howells, the ability to prioritise workloads with
minimum supervision, and integrity and diplomacy. They
must also have excellent oral and written communication
skills, and be computer literate. Knowledge of Blueprint is
